This innovative seminar and networking reception is designed for those interested in learning more about social enterprise and those already in the development stage—whether still on the drawing board or poised for growth. Attendees will participate and engage with a vibrant group of values-led entrepreneurs and existing organizations brought together by the shared mission of seeking social, environmental and financial returns. A networking reception will follow the seminar.

Session I: Structure
Presenters: Brad Brown, executive director of Social Venture Partners Minnesota, and Paul Chestovich, partner at Maslon Edelman Borman & Brand, LLP

Brad and Paul will help you understand how to align mission with organizational form, guiding you through the pros and cons of a full range of legal structures available to help you develop your venture, including non-profit entities, for-profit entities, hybrid structures, L3Cs and B corporations.

Panel: Amelia Baxter, co-founder and vice president Whole Trees Architecture and Construction; Tim Brownell, co-founder and president of Eureka Recycling; Barbara Hensley, founder and president of Hope Chest for Breast Cancer; and Jeff Tollefson, founder and executive director of Genesys Works - Twin Cities

Terri will moderate the panel of leading local social entrepreneurs as they share their unique experiences, lessons learned, and words of advice about how structure can be used positively to achieve a social venture's goals.

Bios
Brad Brown is executive director of Social Venture Partners Minnesota, an engaged venture philanthropy organization that leverages the money and expertise of its members to support innovative social entrepreneurs working to improve the lives of at-risk children and youth.

Paul Chestovich is a partner in the Business & Securities Group at Maslon Edelman Borman & Brand, LLP. He represents large national businesses and small closely held businesses in a variety of commercial transactional work, including general corporate, contracts, business advising, mergers and acquisitions, joint ventures and strategic alliances, securities regulation, securities offerings and financing transactions. He regularly counsels clients in a variety of industries who are forming new businesses in corporate, limited liability company and partnership forms.

Terri Krivosha is chair of the Business & Securities Group at Maslon Edelman Borman & Brand, LLP. She works with a vibrant network of entrepreneurial and dynamic businesses and those who fund them. Terri has developed a special expertise working with social enterprises and provides creative entity formation advice to them and other clients as they develop and scale their businesses. Terri uses her broad strategic skills together with extensive experience to help clients achieve success in all phases of their development and growth. She also provides creative advice to clients who are seeking to restructure and align their legal structures with their business goals.

Amelia Baxter is co-founder and vice president of Whole Trees Architecture and Construction. She and her business partner have grown a sole proprietorship into a full time staff of six (with twice as many seasonal employees), and have subsequently developed a plan to scale their proprietary knowledge to launch Whole Trees Structures, LLC.

Tim Brownell is co-founder and president of Eureka Recycling, one of the largest nonprofit recyclers in the United States. Eureka leads in providing a variety of zero-waste programs and services that aim to reduce waste through the redesign of goods and services, recognize the resources in what we currently define as waste, and inspire our community to rethink our potential to improve the quality of life through the preservation of our environment.

Barbara Hensley is the founder and president of Hope Chest for Breast Cancer, an organization that raises critical resources to support breast cancer causes such as early detection education, screening, emergency funds programs, and nutritional meals, through the donation of upscale furniture, accessories and clothing that is then sold through a chain of company-owned and franchised/licensed retail stores.

Jeff Tollefson serves as executive director of Genesys Works – Twin Cities, a non-profit organization helping high school students from disadvantaged backgrounds join the economic mainstream by providing them the knowledge and work experience required to succeed as young professionals.
